Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("User," "you," or "your") and Every-List LLC, an Illinois limited liability company ("Every-List," "we," "us," or "our"), governing your access to and use of the Every-List mobile application, including any related websites, features, and services (collectively, the "Service").

BY CREATING AN ACCOUNT, DOWNLOADING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that you have the legal capacity to enter into these Terms.

2. Description of the Service

Every-List provides a mobile application that allows Users to create, manage, organize, and share lists and recipes ("User Content"). Features may include, without limitation, list creation, recipe creation, collaborative or shared lists and recipes, reminders, categorization, and syncing across devices. We may add or modify features at any time without prior notice.

3. Accounts

3.1 Registration. Use of the Service requires creating an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@every-list.com if you suspect unauthorized use of your account.

3.3 One Account Per Person. Accounts are intended for use by a single individual. A Premium Subscription may be extended to other Users through a shared household plan, which lets a household owner invite accepted household members to share the benefit of a single Subscription; each household member still uses their own individual account.

3.4 Account Termination by You. You may delete your account at any time through the app settings or by contacting us at support@every-list.com.

4. Subscriptions and Payment

4.1 Subscription Plans. Certain features of the Service require payment of a subscription fee ("Subscription"). Available plans, pricing, and billing intervals (e.g., monthly, annual) are presented to you at the time of purchase within the app or applicable app store.

4.2 Billing. Subscriptions are billed in advance on a recurring basis through the payment method associated with your Apple App Store, Google Play, or other applicable platform account. By purchasing a Subscription, you authorize recurring charges until you cancel.

4.3 Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. Renewal charges will be made to the same payment method used for the original purchase, through the applicable app store.

4.4 Cancellation. You may cancel your Subscription at any time through your Apple ID or Google Play account settings, as applicable. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that time. We do not process cancellations directly for purchases made through a third-party app store.

4.5 Refunds. All purchases are subject to the refund policies of the applicable app store (Apple App Store or Google Play). Every-List does not directly process refunds for subscriptions purchased through these platforms. Where required by applicable law, you may have additional refund rights.

4.6 Price Changes. We may change Subscription pricing at any time. Any price change will apply no earlier than your next renewal period, and we will provide notice as required by the applicable app store or by law.

4.7 Free Trials. If a free trial is offered, it will convert automatically into a paid Subscription at the end of the trial period unless canceled before the trial ends.

4.8 Taxes. Subscription prices may not include applicable taxes. Where required, taxes will be added and disclosed at checkout through the applicable app store.

5. User Content

5.1 Ownership. You retain all ownership rights in the lists, recipes, text, images, and other content you create, upload, or share through the Service ("User Content").

5.2 License to Us. By submitting User Content, you grant Every-List a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, and display your User Content solely as necessary to operate, maintain, and improve the Service — including formatting it for display, combining or scaling quantities you enter (for example, when merging duplicate items or scaling a recipe), and enabling any sharing, collaboration, or export features you choose to use.

5.3 Shared and Collaborative Lists and Recipes. If you use a feature that allows lists or recipes to be shared with or made visible to other Users, you are solely responsible for the content you choose to share and with whom. We are not responsible for how other Users use, copy, or act on User Content you share with them.

5.4 Responsibility for Content. You are solely responsible for your User Content and represent that you have all rights necessary to submit it and that it does not violate any law or third-party right.

5.5 Removal. We may remove or disable access to User Content that we reasonably believe violates these Terms or applicable law, though we are under no obligation to monitor User Content.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Upload content that is illegal, infringing, defamatory, obscene, or that violates the rights of others;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
• Reverse engineer, decompile, or disassemble the Service, except as permitted by law;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated means (bots, scrapers) to access the Service without our prior written consent;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Use the Service to transmit viruses, malware, or other harmful code.

We reserve the right to suspend or terminate accounts that violate this section.

7. Third-Party Services

The Service may integrate with or rely on third-party platforms (e.g., Apple App Store, Google Play, cloud storage or authentication providers). Your use of those platforms is governed by their own terms and privacy policies, and we are not responsible for their acts, omissions, or availability.

8. Intellectual Property

The Service, including its software, design, graphics, logos, and trademarks (excluding User Content), is owned by Every-List LLC or our licensors and is protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service.

9. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in that policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Your User Content is stored on secure servers operated in the cloud, and we maintain commercially reasonable safeguards designed to protect that data. The Service includes features to export your User Content; availability of a given export method (e.g., sharing, printing) may vary by device and platform. Notwithstanding these measures, no method of electronic storage or transmission is completely secure, and we cannot guarantee the absolute security of your data or that data loss will never occur.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERY-LIST LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Every-List LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service for violation of these Terms at any time, with or without notice. If we suspend or terminate your access for reasons other than a violation of these Terms, we will provide you at least fifteen (15) days' advance notice where reasonably practicable.

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including Sections 5.1, 8, 10, 11, 12, 14, and 15) will survive.

Upon deletion of your account, whether by you or by us, we will delete your account data from our active systems within a commercially reasonable time, except that we may retain certain information as required by law, for legitimate business purposes (such as fraud prevention or dispute resolution), or as reflected in backup systems until those backups are cycled out in the ordinary course.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution. Before filing a claim, you agree to first contact us at support@every-list.com to attempt to resolve the dispute informally.

14.2 Binding Arbitration. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered in Illinois, rather than in court, except that either party may bring an individual claim in small claims court.

14.3 Class Action Waiver. You and Every-List agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles, except where superseded by applicable federal law or by mandatory consumer protection laws of your jurisdiction of residence.

16. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through the app or by other reasonable means before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. General Provisions

17.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Every-List LLC regarding the Service.

17.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

17.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
